SEBI issued a consultation paper on February 07, 2025, proposing amendments to the LODR Regulations concerning the Secretarial Compliance Report, Auditor Appointments and Related Party Transactions (RPTs). The key proposals include:

  1. Proposals Related to Auditors:
    1. Strengthening the Secretarial Compliance Report;
    2. Eligibility Criteria for Appointment of Statutory Auditor; and
    3. Disclosures for Auditor Appointments and Reappointments.
  2. Proposals Related to Related Party Transactions (RPTs):
    1. Simplifying RPT Approval for Subsidiaries; and
    2. Clarifications on the Applicability of RPT Regulations.
